1. Acceptance of Terms

By accessing and using PartnerBridge ("the Platform"), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use the Platform.

2. Platform Overview

PartnerBridge is a marketplace platform operated by Scholastiq Innovations Pvt Ltd that connects sellers of IT products (digital downloads and SaaS solutions) with buyers. The Platform facilitates transactions but does not itself develop or guarantee the products listed.

3. User Accounts

• Users must provide accurate and complete information during registration.
• Users are responsible for maintaining the confidentiality of their account credentials.
• Users may register as a Buyer, Seller, or both, subject to verification.
• The Platform reserves the right to suspend or terminate accounts that violate these terms.

4. Seller Obligations

• Sellers must ensure all listed products are original, functional, and accurately described.
• Sellers must provide implementation guides for all products.
• Products are subject to admin review and approval before being listed publicly.
• Sellers agree to a 50/50 revenue sharing model — 50% of each sale is retained by the Platform as a service fee.
• Seller payouts are processed monthly by the Platform admin.

5. Buyer Obligations

• Buyers are advised to review product ratings, descriptions, and reviews before making a purchase.
• All sales are final. Refund requests will be evaluated on a case-by-case basis.
• Buyers may submit one review per purchased product with multi-criteria ratings.
• Purchased digital products are for the buyer's use only and must not be redistributed.

6. Payments

• All payments are processed securely through Razorpay.
• Prices are listed in Indian Rupees (INR) and include all applicable taxes unless stated otherwise.
• The Platform collects 100% of the payment and distributes the seller's share (50%) on a monthly basis.

7. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, and software, is the property of Scholastiq Innovations Pvt Ltd or its content suppliers. Products listed by sellers remain the intellectual property of their respective creators.

9. Limitation of Liability

Scholastiq Innovations Pvt Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Platform or any products purchased through it.

10. Modifications

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting on the Platform. Continued use of the Platform constitutes acceptance of the modified terms.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, India.
